These Terms of Service govern your access to and use of the SubmittalGenerator website and application operated by SDI eBusiness, Inc. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
The Service is intended for users located in the United States and for individuals who are at least 18 years of age.
1. The Service
SubmittalGenerator is a software application that allows users to create construction submittal packages by uploading documents, organizing project information, applying markup, and generating formatted PDF output.
We may modify, update, or discontinue any part of the Service at any time.
2. Account Registration
To use the Service, you must create an account with your full name, company email address, and password. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
You represent and warrant that you are at least 18 years old and located in the United States when using the Service.
3. Plans, Billing, and Payments
3.1 Plans and Features
We may offer one or more free and paid plans, including options such as per project upgrades and additional users. The specific features, limits, and pricing for each plan are described on our website or within the Service and may change from time to time.
By selecting a plan or add on, you agree to the applicable limits, features, and pricing that are in effect at the time of purchase or renewal.
3.2 Billing Cycles and Auto Renewal
Paid plans are billed on a recurring basis, such as monthly or annually, as specified at the time of purchase. Plans renew automatically at the end of each billing period unless you cancel before the renewal date.
3.3 Payment Method
You must maintain a valid payment method on file with our payment provider to avoid interruption of service.
If a payment attempt fails, we may provide a limited grace period during which you may continue to access the Service and update your payment method. If payment is not successfully processed by the end of the grace period, we may suspend or terminate your access.
3.4 Upgrades, Downgrades, and Cancellations
If you upgrade your plan or add features, we may charge a prorated amount for the remainder of the current billing period and enable the upgraded features immediately.
If you downgrade or cancel a paid plan, the change will generally take effect at the next renewal date. You may continue to use the existing plan until the end of the current billing period.
We do not provide refunds or credits for partial billing periods, including monthly or annual terms.
4. Acceptable Use
You agree that you will not:
- Upload or transmit illegal content or content that violates the rights of others
- Upload content that you do not have the right to use
- Interfere with or disrupt the operation of the Service
- Attempt to gain unauthorized access to the Service, user accounts, or systems
- Attempt to reverse engineer, decompile, or otherwise derive the source code of the Service
- Use automated tools to scrape, harvest, or extract data from the Service except as expressly permitted
- Circumvent plan limits, technical protections, or usage restrictions
- Use the Service in violation of any applicable law or regulation
We may suspend or terminate your account if we believe you have violated this section.
5. User Content
You retain ownership of the content you upload to the Service, including project information, PDFs, images, notes, and generated submittal documents.
By using the Service, you grant SDI eBusiness, Inc. a non exclusive, worldwide, royalty free license to process, store, duplicate, copy, modify, convert, and manipulate your content as necessary to operate, maintain, support, secure, and improve the Service. This includes the right to access and work with your content in order to:
- Generate submittal documents
- Diagnose and resolve technical issues or bugs
- Assist with support requests
- Test and verify system behavior
- Analyze usage in aggregate or anonymized form for product improvement
You also grant SDI eBusiness, Inc. a limited license to use your company name and logo to identify you as a customer in marketing materials, customer lists, and on our website. If you do not want us to continue using your name or logo in this way in the future, you may notify us in writing and we will make reasonable efforts to remove your name and logo from new materials created after we process your request.
You agree not to upload content that is illegal, that violates the rights of third parties, or that contains sensitive personal data that should not reasonably be stored in a service of this nature.
6. Support and Access for Support
Support for the Service is available through email, support tickets, or any other methods we choose to make available. We do not guarantee response times or provide formal service level agreements.
You authorize SDI eBusiness, Inc. to access your account, including through impersonation tools, for the purpose of providing support, diagnosing issues, maintaining and improving the Service, and ensuring proper operation of your account and projects.
7. Service Availability
We strive to provide a reliable Service, but we do not guarantee that the Service will be uninterrupted, secure, or free from errors.
The Service is provided as is and as available. Access may be temporarily suspended or limited for maintenance, updates, security needs, or events beyond our control.
8. Data Deletion and Account Termination
You may delete your account at any time through your account settings. When you delete your account, associated project data and uploaded content are removed from active systems. Backup copies may remain for a limited period as part of routine backup processes.
We may suspend or terminate your account, or restrict your access, if:
- You fail to pay for a paid plan
- You violate these Terms
- We have reason to believe your use of the Service presents a security or legal risk
In cases of non-payment, we may allow a limited grace period during which you may retrieve existing documents and update payment details before the account is removed.
9. Intellectual Property
SDI eBusiness, Inc. owns all rights, title, and interest in and to the Service, including all software, code, design, branding, and the structure and format of generated submittal output, along with all associated intellectual property rights.
These Terms do not grant you any ownership interest in the Service. You are granted a limited, non exclusive, non transferable right to access and use the Service in accordance with these Terms and any plan specific limits.
You retain ownership of your uploaded content and generated documents, subject to the license granted to us in Section 5.
10. Limitation of Liability
To the fullest extent permitted by law, SDI eBusiness, Inc. is not liable for any indirect, consequential, incidental, special, or punitive damages, or for any loss of data, profits, revenue, business opportunities, or anticipated savings, whether arising under contract, tort, or any other theory of liability.
Our total liability for any claim related to the Service is limited to the amount you paid for the Service in the billing period in which the claim arose, or zero if you are using a free plan.
The Service is provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.
11. Indemnification
You agree to indemnify and hold harmless SDI eBusiness, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney’s fees, arising out of or related to:
- Your use of the Service
- Your content
- Your violation of these Terms
- Your violation of any law or the rights of any third party
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.
Any legal action or proceeding relating to these Terms or the Service will be brought in the state or federal courts located in Palm Beach County, Florida, and you consent to the jurisdiction and venue of those courts.
At our discretion, we may require that certain disputes be resolved through binding arbitration instead of court proceedings. If we prevail in any action or proceeding relating to these Terms or the Service, we may recover our reasonable attorney’s fees and costs from you.
13. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the date at the top of this page.
If you continue to use the Service after the updated Terms take effect, you agree to be bound by the updated Terms.
